Giveaway Legal Disclaimer

1. **Eligibility:** This Giveaway is open only to those who are 18 years of age or older as of the date of entry. The Giveaway is only open to legal residents of United States and is void where prohibited by law. Employees of Whoop Connect, its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Giveaway. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. **Agreement to Rules:** By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Whoop Connect as final and binding as it relates to the content of this Giveaway

3. **Giveaway Period:** Entries will be accepted online starting on 05/01/2024 and ending on 05/07/2024. All online entries must be received by Tuesday May 7, 2024 at 4:00pm EST

4. **How to Enter:** The Giveaway must be entered by clicking the hyperlink from the weekly sms message or email send by Whoop Connect or clicking to enter the current contest inside Whoop Wednesdays Rewards Hub. After entering, the customer will be eligible for the drawing and will have agreed to continue their ACP service with Whoop Connect. The entry must fulfill all Giveaway requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Whoop Connect. You are limited to one (1) entry per contest period. Entries generated by script, macro, or other automated or mechanical means, or by means which subvert the entry process or where prohibited by law, will be void.

5. **Prizes:** The Winner(s) of the Giveaway (the “Winner”) will receive Visa prepaid card electronically or select a physical card to be mailed. Visa is a registered trademark and not associated with Whoop Connect. The specifics of the prize shall be solely determined by Whoop Connect. No cash or other prize substitution shall be permitted except at Whoop Connect’s discretion. Prizes 1 - Visa prepaid card ($1000), 1 - Visa prepaid card ($500), 1 - Visa prepaid card ($250), 2 - Visa prepaid card ($100), 3 - Visa prepaid card ($50), 18 - Visa prepaid card ($25). Approximate retail value of all 26 prizes combined is $2550. The Winner(s) may be required to sign and return an Affidavit of Eligibility/Compliance and a Publicity/Liability Release in order to receive the Prize. Failure to sign and return all such requested documentation by the return date specified by Whoop Connect after notification of winning the Prize will result in forfeiture of the Prize and the subsequent selection of an alternate potential Winner. The Winner may be issued an appropriate tax form (e.g., Form 1099) in the amount of the ARV of the Prize. The potential Winner must comply with all of the terms and conditions contained in these Official Rules and the issuance of the Prize is contingent upon fulfilling all of the requirements herein.

6. **Winner Selection and Notification:** Winner will be selected by randomly by random excel feature under the supervision of Whoop Connect. Winner will be notified by email or sms within five (5) days following selection of Winner. Whoop Connect shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information.

7. **Rights Granted by You:** By entering this Giveaway, You understand and agree that Whoop Connect, anyone acting on behalf of Whoop Connect and Whoop Connects’s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your, name, portrait, picture, voice, likeness, image, statements about the Giveaway, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent.

8. **Terms & Conditions:** Whoop Connect reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Giveaway should virus, bug, non- authorized human intervention, fraud, or other cause beyond Whoop Connect’s control corrupt or affect the administration, security, fairness, or proper conduct of the Giveaway.

9. **Limitation of Liability:** By entering, You agree to release and hold harmless Whoop Connect and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries

10. **Disputes:** THIS GIVEAWAY IS GOVERNED BY THE LAWS OF United States, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Giveaway, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Florida having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Giveaway). Participant further waives all rights to have damages multiplied or increased.

13. **The Giveaway hosted by Whoop Connect is in no way sponsored, endorsed, administered by, or associated with Facebook, Twitter, Instagram, or any other social media platform used for promotion.**

14. **By participating in the Giveaway, You, the Contestant, have affirmatively reviewed, accepted, and agreed to all of the Official Rules & Regulations. In the event Whoop Connect is prevented from awarding prizes or continuing with the Giveaway as contemplated herein due to any event beyond its control, including, but not limited to, technical failure, fire, flood, earthquake, explosion, labor dispute or strike, act of God, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), or any federal, state, or local government law, order, or regulation, or any other cause not reasonably within Whoop Connect’s control, then Whoop Connect shall have the sole right to modify, suspend, or terminate the Giveaway. Whoop Connect reserves the right, in its sole discretion, to disqualify any entrant it finds to be tampering with the entry process or the operation of the Giveaway or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMACY OF THE GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND, IF WHOOP CONNECT BELIEVES, IN ITS SOLE DISCRETION, THAT SUCH AN ATTEMPT HAS BEEN OR WILL BE MADE, THEN WHOOP CONNECT RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. **
